1. Agreement to Terms

These Terms & Conditions (“Terms”) govern access to and use of the JinxQMS platform (the “Service”) operated by JinxQMS, Inc. (“JinxQMS,” “we,” or “us”). JinxQMS is offered on a business-to-business basis to organizations (each a “Customer”), not to individual consumers. By accessing the Service, the individual doing so represents that they are authorized to bind their organization to these Terms, and “you” refers to that Customer organization. There is no public self-service signup for end users — accounts are provisioned by JinxQMS for a Customer's designated administrator, who in turn invites and manages that organization's own users.

2. Subscription & License

Subject to payment of applicable fees and compliance with these Terms, JinxQMS grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service, for the term of Customer's subscription, solely for Customer's own internal quality management operations. Each subscription is provisioned per tenant (organization) and is not shared across unrelated companies. Billing is handled by manual invoicing outside the Service — there is no in-app payment processing. Fees, billing frequency, and renewal terms are set out in the applicable order form or invoice and, absent a separate written agreement, are due on the terms stated on that invoice.

3. Accounts & Responsibilities

Customer's administrators are responsible for provisioning, assigning roles to, and deactivating the users within their organization's account. Each individual user is responsible for maintaining the confidentiality of their own login credentials and for all activity that occurs under their account. Customer agrees to provide accurate registration and company information and to keep it current. You must notify us promptly of any known or suspected unauthorized access to an account. We reserve the right to suspend accounts used in violation of these Terms or in a manner that threatens the security or integrity of the Service.

4. Customer Data & Ownership

Customer owns all data it submits to the Service — including quality records, documents, forms, vendor and project information, and any other content entered or uploaded (“Customer Data”). JinxQMS does not claim ownership of Customer Data. We process Customer Data solely to provide, secure, and support the Service, and we will not sell it or use it to train models outside that purpose. Each Customer's data is isolated from every other Customer's data as described in our Security page.

On termination of a subscription, Customer may request export of its quality records in a usable format for a reasonable period following termination. Because generated quality records commonly need to remain available to support aerospace supply-chain traceability, JinxQMS follows the aerospace-industry convention of retaining completed quality records for up to ten (10) years following project completion, unless Customer directs otherwise in writing or applicable law requires a different period. Audit log entries are retained indefinitely as an integrity record and are never deleted.

5. Electronic Signatures

The Service allows designated users to execute electronic signatures by typing their full legal name and affirmatively confirming their intent to sign. These signatures capture the signer's identity, a timestamp, and the IP address of the signing session, and are intended to satisfy the form requirements of the U.S. ESIGN Act and the Uniform Electronic Transactions Act (UETA) for records maintained in the ordinary course of business. JinxQMS does not determine, and expressly disclaims responsibility for, whether electronic signatures are an acceptable substitute for wet-ink or other signature methods under the specific regulatory regime (e.g., a particular civil aviation authority or customer flow-down requirement) applicable to Customer's quality records. That determination remains Customer's responsibility.

6. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable export-control, aerospace, or data-protection law; (b) attempt to probe, scan, penetration-test, or otherwise assess the security of the Service without our prior written authorization; (c) reverse engineer, resell, sublicense, or provide the Service to third parties as a bureau or service on Customer's behalf without our consent; (d) upload malicious code; or (e) circumvent tenant isolation, rate limiting, or access controls. We may suspend access immediately, without prior notice, for a violation of this section that we reasonably believe poses a risk to the Service or to other customers.

7. Service Availability & Modifications

We use commercially reasonable efforts to keep the Service available and to give advance notice of planned maintenance windows where practical, but we do not guarantee uninterrupted availability. Because the Service is under active development, features may be added, changed, or retired over time; we will not materially reduce the core functionality of a paid subscription without reasonable notice. Nothing in this section limits Customer's ability to export its Customer Data as described in Section 4.

8. Regulatory Compliance

JinxQMS is designed to support quality management processes commonly associated with AS9100, AS9110, AS9120, and related aerospace standards, and to help Customer organize the records those standards call for. JinxQMS is a software tool, not a certification body, registrar, or auditor — using the Service does not by itself result in certification or regulatory approval, and JinxQMS makes no representation that any particular configuration of the Service satisfies a specific standard, customer flow-down requirement, or regulator's expectations. Customer and its designated quality representatives remain solely responsible for their organization's compliance with the standards, contracts, and regulations applicable to their business.

9. Disclaimers & Limitation of Liability

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, JinxQMS disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Service. Except for a party's indemnification obligations, breach of confidentiality, or willful misconduct, each party's total liability arising out of or relating to these Terms will not exceed the fees actually paid by Customer to JinxQMS in the twelve (12) months preceding the event giving rise to the claim.

10. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service or to applicable law. We will post the revised Terms here with an updated “Last updated” date and, for material changes, will provide reasonable notice through the Service or to Customer's administrator. Continued use of the Service after a revised version takes effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Texas.
